“Opensource DSL”, “we”, “us” and “our” refer to Opensource Digital Services Limited. We provide software development, payment integration, e-commerce, digital publishing, ICT, education technology, business support, consultancy and related services.
2. Eligibility and Accounts
- You must provide accurate and current information when creating an account or placing an order.
- You are responsible for protecting your password and for activity carried out through your account.
- You must notify us promptly if you suspect unauthorized access.

4. Orders and Availability
- An order is an offer to purchase and may be accepted or rejected where stock, pricing, fraud checks, payment confirmation or legal requirements prevent fulfilment.
- Physical-product availability may change before payment verification.
- We may correct obvious pricing, description or technical errors before fulfilment and will communicate any material correction.
- Order confirmation is subject to successful payment verification, not merely a customer-side success message.
5. Payments
Payments may be processed through Remita, Paystack, Flutterwave or another displayed provider. Payment providers process card, bank or other payment information under their own terms and privacy practices.
- You authorize the selected provider to process the transaction.
- Duplicate, reversed, abandoned or failed transactions may require verification before an order is updated.
- We may request reasonable transaction evidence when resolving a payment dispute.
- Charges imposed by banks or payment providers may be outside our control.
6. Digital Products
- Digital products are licensed for the purchaser’s personal or authorized organizational use unless stated otherwise.
- Purchase does not transfer copyright or intellectual-property ownership.
- Download access may be limited by count, time, account or security controls.
- You must not share protected links, remove security controls, reproduce, publish or resell digital files without written authorization.
7. Physical Products, Delivery and Pickup
- Delivery estimates are not guaranteed where delays arise from carriers, weather, security, address errors or events outside reasonable control.
- You must provide an accurate delivery address and reachable telephone number.
- Risk and responsibility pass in accordance with applicable law and the confirmed delivery or pickup arrangement.
- You should inspect delivered goods promptly and report damage, shortage or an incorrect item without unreasonable delay.
8. Professional and Development Services
- Project scope, milestones, fees, deliverables and acceptance criteria should be stated in a proposal, invoice, contract or statement of work.
- Changes outside the agreed scope may require revised cost and delivery dates.
- Client delays in approvals, content, credentials, access or feedback may affect delivery.
- Third-party services, licences, hosting, domains, APIs and gateway approvals may be subject to separate terms and availability.
9. Intellectual Property
Our website design, software components, documentation, branding, content and digital products remain protected by applicable intellectual property laws. Ownership of custom project deliverables will be governed by the applicable written agreement and payment status.
10. Cancellations, Returns and Refunds
Our Refund, Return and Cancellation Policy forms part of these Terms. Nothing in these Terms removes a right that cannot lawfully be excluded.

11. Third-Party Services
Links, gateways, hosting providers, courier services, APIs and other third-party services are operated independently. We are not responsible for their separate systems, policies or outages, but we will provide reasonable assistance for integrations under our control.
12. Service Availability and Disclaimers
We work to provide reliable services, but uninterrupted or error-free availability cannot be guaranteed. Maintenance, security incidents, provider outages or events beyond reasonable control may affect access.
13. Limitation of Liability
To the extent permitted by law, we will not be liable for indirect, incidental or consequential loss arising from use of the website or services. This clause does not exclude liability that cannot legally be excluded, including applicable consumer rights.
14. Responsibility for Misuse
You are responsible for loss resulting from your unlawful use, fraud, infringement, unauthorized redistribution or breach of these Terms, subject to applicable law.
15. Suspension and Termination

These Terms are governed by the laws of the Federal Republic of Nigeria. Parties should first attempt good-faith resolution through our support channel. This does not prevent either party from using a lawful court, regulator or dispute-resolution process.
